OTC Markets

The main US marketplace for companies quoted outside the national exchanges, organised into tiers by disclosure standard.

Overview

OTC Markets Group operates the marketplaces where shares of many US and international companies trade outside national securities exchanges such as NASDAQ and the NYSE. Trading happens through a network of broker-dealers rather than a central exchange order book. The company traces its history to the National Quotation Bureau, founded in 1913 and long known as the Pink Sheets.

Companies are grouped into tiers based on the quality and timeliness of the information they disclose: the OTCQX Best Market, the OTCQB Venture Market, the OTCID Basic Market and the Pink Limited Market. The tier a company sits in is one of the first things investors check.

Known For

  • Early-stage and smaller US companies not yet ready for a national exchange
  • International companies giving US investors access to their shares, often through ADRs
  • A tiered structure that signals each company's level of disclosure
  • A common stepping stone before uplisting to NASDAQ or NYSE American

Listing Considerations

  • OTCQX and OTCQB carry financial and disclosure standards, while the lower tiers have far fewer requirements
  • Liquidity is usually thinner than on a national exchange, with wider spreads
  • Some institutional investors cannot or will not hold OTC-quoted shares
  • Broker-dealer activity is overseen by FINRA, and SEC rules on quotation and disclosure apply
